Terms & Conditions – CompeteFit

These Terms & Conditions (“Terms”) govern your access to and use of the CompeteFit website and mobile application (the “Services”) provided by CompeteFit Technologies Inc. (“CompeteFit”, “we”, “us”, or “our”).

 

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, you must not use the Services.

1. Who we are

CompeteFit is an AI-powered fitness platform that helps users track workouts, monitor progress, and compete with themselves.

2. Eligibility

 

To use the Services, you must:

  • Be at least 13 years old (or the minimum age required in your jurisdiction); and

  • Have the legal capacity to enter into a binding agreement.

 

If you use the Services on behalf of another person or organization, you represent that you are authorized to accept these Terms on their behalf.

 
3. Your account

 

To access certain features, you may need to create an account.

You agree to:

  • Provide accurate and up-to-date information;

  • Keep your login credentials confidential; and

  • Be responsible for all activity that occurs under your account.

 

If you believe your account has been compromised, contact us immediately at competefit25@gmail.com.

 

We reserve the right to suspend or terminate accounts that violate these Terms or that we believe may compromise the security or integrity of the Services.

 
4. Use of the Services

 

You agree to use the Services only for lawful purposes and in accordance with these Terms.

 

You must not:

  • Use the Services in any way that violates any law or regulation;

  • Attempt to gain unauthorized access to any part of the Services or related systems;

  • Interfere with or disrupt the operation of the Services (e.g., by uploading malware, bots, or harmful code);

  • Reverse engineer, decompile, or attempt to extract the source code of the Services, except as permitted by law;

  • Use the Services to harass, abuse, or harm others, or to share offensive, hateful, or illegal content.

 

We may, at our sole discretion, suspend or restrict access to the Services if we believe you have violated these Terms.

5. Fitness and health disclaimer

 

CompeteFit provides fitness tracking, analytics, and AI-generated suggestions based on the information you enter.

  • The Services do not provide medical advice, diagnosis, or treatment.

  • The content and suggestions are for informational and educational purposes only and are not a substitute for professional medical advice.

  • Always consult a doctor or qualified health professional before starting a new exercise program, especially if you have any medical condition, injury, or concern.

By using the Services, you acknowledge that:

  • Physical activity involves risks, and injuries may occur;

  • You are responsible for deciding what exercises and training intensity are appropriate for you;

  • CompeteFit is not responsible for any injury, health issue, or result arising from your use of the Services.

6. AI-generated content

 

Some features may use artificial intelligence (“AI”) to generate suggestions, plans, or insights.

 

You understand and agree that:

  • AI outputs may not always be accurate, complete, or suitable for your specific situation;

  • You should review and use your own judgment before following any AI-generated suggestions;

  • We may use anonymized and aggregated data to improve our AI models and overall service.

 
7. User content

 

You may be able to submit, upload, or enter content such as workout logs, notes, goals, or feedback (“User Content”).

 

You retain any rights you have to your User Content, but by submitting it you grant CompeteFit a non-exclusive, worldwide, royalty-free license to:

  • Use, store, display, modify, and create derivative works of your User Content solely to operate, improve, and provide the Services.

 

You confirm that:

​​

  • You have the necessary rights to submit the User Content; and

  • Your User Content does not violate any law or the rights of others.

 

We may remove or restrict any User Content that we reasonably believe violates these Terms or is harmful.

 
8. Fees and payments

 

At this stage, CompeteFit may be offered for free or in limited early-access form. In the future, we may introduce paid features or subscription plans.

 

If paid features are introduced:

  • We will clearly display prices and billing terms before you are charged;

  • Payments will be processed by third-party payment providers;

  • Unless stated otherwise, all fees are non-refundable, except where required by law.

 

Any changes to pricing will be communicated in advance and will not apply retroactively to previous charges.

 
9. Intellectual property

 

The Services, including all content, design, logos, graphics, and software, are owned by CompeteFit or our licensors and are protected by copyright, trademark, and other laws.

 

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

 

You may not:​

  • Copy, modify, distribute, sell, or lease any part of the Services; or

  • Use our trademarks or branding without our prior written permission.

 
10. Third-party services and links

 

The Services may contain links to third-party websites, apps, or services.

 

We do not control and are not responsible for:​

​

  • The content, privacy practices, or security of third-party services; or

  • Any loss or damage arising from your use of them.

 

Your use of third-party services is at your own risk and subject to their own terms and policies.

 
11. Disclaimer of warranties

 

The Services are provided on an “as is” and “as available” basis.

 

To the fullest extent permitted by law, we make no warranties or representations, express or implied, including but not limited to:​

  • Fitness for a particular purpose;

  • Availability, reliability, or accuracy of the Services;

  • That the Services will be uninterrupted, error-free, or secure;

  • That any particular fitness or health results will be achieved.

 

You use the Services at your own risk.

 
12. Limitation of liability

 

To the fullest extent permitted by law, CompeteFit Technologies

 

Inc., its directors, employees, and partners will not be liable for any:

​​

  • Indirect, incidental, special, consequential, or punitive damages;

  • Loss of profits, data, or business opportunities;

  • Personal injury or property damage related to your use of the Services;

even if we have been advised of the possibility of such damages.

 

Our total liability for any claims arising out of or related to the Services or these Terms will be limited to the greater of:

​​

  • The amount you paid to us for the Services in the 3 months preceding the claim (if any); or

  • CAD $50.

 

Some jurisdictions do not allow the exclusion or limitation of certain damages, so these limitations may not apply to you in full.

 
13. Indemnification

 

You agree to indemnify and hold harmless CompeteFit Technologies Inc. and its officers, employees, and partners from and against any claims, damages, losses, liabilities, and expenses

(including reasonable legal fees) arising out of or related to:

  • Your use of the Services;

  • Your violation of these Terms; or

  • Your violation of any rights of another person or entity.

 
14. Governing law and jurisdiction

 

These Terms are governed by the laws of Québec and the applicable federal laws of Canada, without regard to conflict-of-law principles.

 

Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the courts located in Montréal, Québec, Canada, unless applicable law requires otherwise.

 
15. Changes to the Services and to these Terms

 

We may update or modify the Services at any time, including adding or removing features.

 

We may also update these Terms from time to time. When we do:

​​

  • We will update the “Last updated” date at the top of this page; and

  • Where required, we will provide additional notice (for example, within the app or by email).

 

If you continue to use the Services after the updated Terms take effect, you are deemed to have accepted the changes.

 
16. Termination

 

You may stop using the Services at any time and may request deletion of your account (where available) by contacting competefit25@gmail.com.

 

We may suspend or terminate your access to the Services, in whole or in part, if:

​​

  • You violate these Terms;

  • We are required to do so by law; or

  • We discontinue the Services.

 

Upon termination:

​​

  • Your right to use the Services will immediately cease; and

  • Certain provisions of these Terms that by their nature should survive (such as limitations of liability and dispute resolution) will continue to apply.
